Pharmacy Benefit Managers are separate companies from the parent insurance company that administer your prescription benefits and maintain the insurance drug formulary. Usually you can find their logo on your insurance card, like OptumRX which is the biggest PBM currently if I recall.
These companies use they bargaining power of their respective insurance companies to "save costs". Their CEOs are typically paid several times more than a Pharma CEO.
The reason they generate so much money is because of:
A) there are currently virtually no laws federally or in most states to regulate them
B) They completely lack transparency much like Pharma
C) Kickbacks- usually anywhere between 30 and 60% of the market price is to account for the kickback. This is where a PBM demands that much of a percentage of the drug's cost reimbursed to them. I.e to get that Humira covered under most insurances, about $1500 on each pen sold must be paid back to the PBM. The amount of this kickback is never disclosed because Pharma also needs them to be able to fight back against price pressures here and abroad. You and everyone on the plan still pay your insurance fees based on the full price of Humira because often even the insurer doesn't know what the PBM negotiated.
D) Clawbacks- on some drugs PBMs will have a scheme where the pharmacy will bill the drug, and the PBM will take money from them in this transaction rather than giving it. Then the PBM will assign a copay several times higher than what the item is worth so that the pharmacy can get some profit from you. This usually happens with things like alcohol pads for people injecting meds. It is against contract for the pharmacy to tell you that this is happening. If a pharmacy does tell you about this, the PBM reserves the right to withhold months of reimbursement from them, which can be in the hundreds of thousands of dollars or even millions depending on store volume.
E) Unfair audits- as mentioned, PBMs can withhold money from a pharmacy for anything they deem in their contact to be a violation. They reserve the right to inspect anything anytime and if they find anything at all, like the wrong NDC# of the same drug being billed they can withhold those hundreds of thousands of dollars indefinitely, effectively killing the pharmacy. Typically the pharmacy will pay a huge "fine" (read: bribe) to survive this, although different processes exist.
There are no laws regulating this so it is all at the mercy of the PBM and outlined in the contract that the pharmacy signs with them. The pharmacy has no power to negotiate this contract.
