For one theres only one company, amtrak, so if you wanted to make it better with more private companies you would have to allow competition, which isn't really worth it since noone rides on trains because buses have such a bad rep. Have experience in BR, railtrack, and NWR. Nationalisation makes sense. Roads are public, except toll roads. Franchises are tolls on public roads you have already paid for.

First, France (and others) has a stake in our railways. Yes, other countries state owned rail companies invest in our privatised system to (theoretically) use profits to supplement their own investments in their own infrastructure.
Of course, it's almost impossible to make a profit in the UK. Massive losses are the norm, in which case our Tory government makes up the shortfall with massive bailouts because nothing could be worse than running this shit ourselves or admitting the free market isn't the solution to every problem.

Rail franchises expire after a while and the government chooses which bidder next takes over the rail line. If they brought back BR the government could give it to them at no cost.
