there's an easy answer: it was licensed for distribution in its original format running the original code as-is in an emulator sidesteps the issue, while remaking it means that you have to go check all the rights and the lot

Sonic 2, Sonic 3 and Sonic & Knuckles were developed by Japanese-led teams in the US because Yuji Naka didn't like the Japanese corporate culture and wanted more creative freedom. Sonic 2 had a joint Japanese and US team that was led entirely by the Japanese. Differences in working culture led to Sonic 3 and Sonic & Knuckles being developed entirely by Japanese staff, although still located in the US.
Adventure 2, Heroes and Shadow were the same way, they were developed in the US but by almost entirely Japanese staff.
