This is from the Finder. Have you used OS X in the past 405 years?

It does give you the option. If you click merge, it will check for any conflicts and then prompt you what to do with each one (with an option to use for all conflicts).

I actually use that, and it doesn't completely solve the problem. There is always a gap at the bottom, and usually a 1 or 2 pixel gap at the top.

It's only an "issue" if you don't know what you're doing.
In your case, replacing an out of date folder would result in outdated and new files in the same folder. Like what happens with .dlls, for instance.
