He explained it on his Sirius show recently. Basically, CBS wanted Letterman so bad they gave him another hour. The network didn't give a fuck about Ferguson because he was really working for Dave, Dave didn't give a fuck because he was busy with his show. Ferguson basically didn't have a boss for a decade. As soon as Letterman told the network about his retirement, they started meddling and Ferguson bailed.
