In the normative sense, 'corporations' are just organisations comprised of people (workers, shareholders, directors, managers) with assets held int the name of the organisation.

The whole idea is to protect business owners from unjustified legal consequences if one of his or her employees fucks up.

If you have a sole proprietorship, you are held personally responsible for everything your business does. If someone has a problem with your business, they can take you to court and take everything you own including your house and the clothes off your back (assets that are totally unrelated to your business).

Now imagine you own McDonalds: you have literally too many employees spread out over such a large area that its impossible to personally monitor them all. You can try your best and hire decent managers to monitor shit for you, but ultimately you can't stop every greasy nerd from spitting in the McFlurrys or stop a rogue manager from charging blacks 50% more at one of your locations.

This is where creating a corporation comes in. The corporation is treated as a person so it assumes responsibility for almost all actions of the business and can be sued in your place so only business-related assets can be taken in court.

If the founding fathers wanted corporations to be persons, why didn't they include them in the Bill of Rights instead of explicitly regulating them?
